Terms of Service

Effective Date: March 19, 2026

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Planalyte, a product of Sambangi Consultancy Inc., doing business as Sambangi Inc. ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

If you are using Planalyte on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Planalyte is an AI-powered project planning platform that enables you to:

  • Describe features in natural language and generate structured work items with AI assistance.
  • Perform code impact analysis to understand which files, functions, and services a change will affect.
  • Push generated work items to third-party project management tools (Azure DevOps, GitHub, Jira).
  • Collaborate with team members on planning sessions.
  • Estimate complexity, effort, and risk scores for work items.

3. Account Registration

  • You must provide accurate, complete information when creating an account and keep it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • You must notify us immediately at security@planalyte.com if you suspect unauthorized access to your account.
  • You must be at least 16 years of age to use the Service. By creating an account, you represent that you meet this requirement.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service.
  • Use automated systems (bots, scrapers) to access the Service in a manner that exceeds reasonable use.
  • Submit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Circumvent or attempt to circumvent usage limits, rate limits, or other security measures.

Violation of these terms may result in immediate suspension or termination of your account.

5. Intellectual Property

5.1 Your Content

You retain all rights to the content you create, upload, or import into Planalyte (work items, descriptions, chat messages, code references). By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit your content solely to provide the Service to you.

5.2 Your Source Code

We maintain a strict zero code retention policy. When you connect a repository for code impact analysis, your source code is processed in real-time and is never stored, copied, or retained in any form. Source code is not written to any persistent storage, database, or backup system. Once an analysis is complete, all code data is discarded from memory.

5.3 AI-Generated Content

Work items, analysis results, and other content generated by AI through the Service are provided to you for your use. You own the output generated from your inputs. We make no claim of ownership over AI-generated content.

5.4 Our Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Sambangi Consultancy Inc. (doing business as Sambangi Inc.) and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without prior written consent.

6. Subscription Plans and Billing

Planalyte offers the following tiers:

  • Free — 200 AI credits/month, 50 work items, 1 provider connection (Azure Boards, GitHub, or Jira), no payment required.
  • Pro ($9/month) — 500 AI credits/month, unlimited work items and analyses, GPT-4o + GPT-5 Mini access, 5 provider connections (incl. Zoom & Teams), Meeting Intel, priority email support.
  • Pro Team ($9/seat/month, 2–50 seats) — Everything in Pro, shared workspace and credits, role-based access control, team-wide provider connections including Meeting Intel.
  • Enterprise (custom pricing) — Everything in Pro Team, 5,000+ AI credits/month, unlimited team members, SSO/SAML, dedicated onboarding, priority SLA.

6.1 Free Trial

Pro features may include a free trial period. At the end of the trial, you will be downgraded to the Free tier unless you subscribe.

6.2 Cancellation

  • You may cancel or downgrade your subscription at any time.
  • Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial months.
  • Your data is retained for 15 days after cancellation, then permanently deleted.

6.3 Bug Reporting Rewards

Planalyte rewards users who help improve the platform by reporting valid bugs. If your report meets all of the following criteria, you will receive 10 AI credits added to your account:

  • Valid & reproducible — The bug must be a genuine defect in Planalyte (not expected behavior, a user error, or a third-party integration issue). You must describe clear steps to reproduce it.
  • First reporter — Credits are awarded only to the first user to report a specific bug. Duplicate reports of an already-known issue do not qualify.
  • Sufficient detail — The report must include a description of what happened, what you expected to happen, and the steps to reproduce. Screenshots are strongly encouraged.
  • Verified by our team — Credits are not awarded automatically. Our team reviews each report and makes the final determination on validity. This process may take up to 7 business days.

Planalyte reserves the right to modify or discontinue the bug reporting reward program at any time. Abuse of the program (e.g., submitting fabricated or spam reports) may result in account suspension.

7. Data, Privacy, and Security

Your privacy is important to us. Please review our Privacy Policy for details on how we collect, use, and protect your data.

7.1 Data Residency

All Planalyte infrastructure — including application servers, databases, AI model endpoints, and storage — is hosted exclusively in Canada Central. Your data never leaves Canadian territory for processing or storage.

7.2 Zero Code Retention

We do not store your source code. During code impact analysis, repository data is processed in real-time in memory and is immediately discarded upon completion. No source code is persisted to disk, database, or backup systems at any time.

7.3 AI Processing

  • Your work-item descriptions and chat messages are processed by AI models hosted exclusively within our Canadian infrastructure.
  • No data is sent to external AI providers or any servers outside of Canada for AI processing.
  • Your data is not used to train any AI models.

7.4 Data Retention After Termination

7.5 Data Export

You can export your work items and analysis data at any time through the Service or by requesting a data export from support@planalyte.com.

8. Third-Party Integrations

Planalyte connects to third-party services (Azure DevOps, GitHub, Jira) via OAuth. By connecting these services:

  • You authorize Planalyte to access your projects, repositories, and work items on those platforms as permitted by the OAuth scopes you grant.
  • You can disconnect any integration at any time, which revokes Planalyte's access.
  • We are not responsible for the availability, security, or terms of third-party services.
  • Data pushed to third-party services is governed by those services' respective policies.

9. Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted service.
  • Scheduled maintenance will be announced in advance when possible.
  • We are not liable for downtime caused by factors beyond our reasonable control (force majeure), including but not limited to internet outages, cloud provider failures, or natural disasters.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAMBANGI CONSULTANCY INC. (DOING BUSINESS AS SAMBANGI INC.) AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Loss of data, profits, revenue, or business opportunities, even if we have been advised of the possibility of such damages.
  • The accuracy, completeness, or reliability of AI-generated content. You acknowledge that AI output should be reviewed before use and is not a substitute for professional judgment.

Our total aggregate liability for any claims arising from or related to the Service is limited to the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that AI-generated content is accurate, complete, or suitable for any particular purpose. You are solely responsible for reviewing and validating all output before relying on it.

12. Termination

12.1 By You

You may terminate your account at any time by deleting it through the Settings page or by contacting support. Upon termination:

  • Your account is immediately deactivated.
  • Your data is scheduled for deletion per our data retention policy (Section 7.4).
  • Any active subscription continues until the end of the current billing period.

12.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use Policy.
  • We are required to do so by law.
  • Your account has been inactive for more than 12 months (Free tier only; we will send a 30-day warning email before deletion).

13. Dispute Resolution

If a dispute arises between you and Sambangi Consultancy Inc. (doing business as Sambangi Inc.), we encourage you to first contact us at legal@planalyte.com to attempt to resolve it informally within 30 days.

If the dispute cannot be resolved informally, it shall be submitted to binding arbitration under the rules of the applicable arbitration body in the jurisdiction of the governing law stated in Section 14.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any legal proceedings arising under these Terms shall be brought exclusively in the courts located in Ontario, Canada.

15. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or an in-app notification at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you disagree with the changes, you may terminate your account before the effective date.
